Terms of service
Effective date: 19 October 2026. Version 1.0.
1. Seller and scope
These Terms concern business supplies by IMPEX CONNECT DOO BEOGRAD ("IMPEX CONNECT", "we", "us"), registered at JURIJA GAGARINA 231 (lokal 329), Beograd (Novi Beograd), Srbija. Registration number: 21984396. PIB / VAT number: 114183890. Contact: info@impex-connect.com; +381 63 8214 003.
Our catalogue and supply service are intended exclusively for legal entities and entrepreneurs purchasing for their trade, business or professional activity. We do not offer consumer retail sales. The purchaser must identify its business and the person authorised to place the order. Nothing in these Terms removes protections that applicable mandatory law requires us to provide.
These Terms become part of a sale only when made available to the purchaser before contract formation and incorporated into the agreement. A negotiated contract or expressly accepted order-specific condition prevails over an inconsistent general provision. Purchaser terms apply only to the extent we expressly accept them. Silence or a routine acknowledgement is not acceptance of additional purchaser terms.
2. Catalogue information and prices - no public offer
The website, downloadable catalogues, product listings, photographs and displayed prices are provided for information and as an invitation to submit an enquiry. They do not constitute a public offer, a binding offer to sell, a reservation of goods or a commitment to supply at a displayed price. Prices are indicative B2B prices and may depend on quantity, specification, supplier conditions and delivery requirements. All displayed prices exclude VAT. Delivery, insurance, packaging, customs duties and other charges are excluded unless expressly stated otherwise.
Availability, final specification, price, currency, taxes, payment terms and delivery conditions are confirmed individually by email. A listing does not mean that goods are in stock. We may correct catalogue errors and update information for future transactions. An error discovered after a contract has formed will be handled under the contract and applicable law; it does not create an unrestricted right to rewrite or cancel an accepted order.
3. Enquiries, quotations and acceptance
Enquiries and orders are handled by email. Sending a website form, selecting products, requesting a quotation or receiving an automated message does not itself conclude a sale. Unless expressly identified as a binding offer, a quotation or pro forma is non-binding and subject to our express order confirmation. Any binding offer must state its validity and conditions.
Under our intended ordering process, a contract is formed when an authorised representative sends an express written order confirmation identifying the agreed goods, quantity, price and principal supply conditions, or when a separately identified binding offer is accepted in accordance with its terms. Statutory rules concerning contract formation and the parties' actual conduct remain applicable. We request advance payment only after the contractual basis and payment conditions have been confirmed.
An invoice, pro forma, payment request or acknowledgement is not intended to replace express confirmation unless it explicitly states that it is also an order confirmation. This does not change any legal effect that mandatory law gives to the document or the parties' conduct.
4. Right to decline an enquiry or proposed order
Before a binding contract is formed, and subject to applicable law and duties of good faith, we may decline an enquiry or proposed order, decide not to prepare a quotation, or decline to issue a quotation-related pro forma or payment request. Grounds may include supplier availability, order quantity or value, technical feasibility, insufficient specification, inability to agree commercial terms, payment or credit risk, unreasonable resource requirements, suspected misuse or fraud, and sanctions, export-control or other compliance concerns.
We may request additional business, technical, payment, end-user or destination information. Commercially confidential details need not be disclosed except where the law requires disclosure. This provision does not authorise unlawful discrimination, misleading conduct or bad-faith negotiations. It does not permit us to withhold an invoice or other document that we are legally required to issue for a transaction, or to cancel an existing contract without a contractual or legal basis. Money received without an accepted order must be addressed promptly, including return where due.
5. Technical specification and application responsibility
The agreed model code, configuration, drawings and expressly confirmed specification determine the supply. General website descriptions, approximate dimensions, diagrams and images do not replace this specification. Illustrations may show examples, optional accessories or digitally prepared visualisations. Accessories, certificates, drawings, testing and engineering services are included only where agreed.
The purchaser must provide accurate operating and interface requirements, including pressure, flow, fluid, temperature, filtration, electrical supply, loads, duty cycle, installation environment and applicable machine requirements where relevant. The purchaser is responsible for overall machine design, integration and suitability to the extent these duties are not expressly included in our agreed scope. We remain responsible for duties we accept and obligations that cannot lawfully be excluded.
Installation, commissioning and maintenance must be undertaken by competent personnel using the agreed technical documentation and applicable safety rules. Safety-critical, explosive-atmosphere, lifting, medical or other specially regulated applications must be disclosed before selection. We do not represent a component as certified or suitable for such use without express confirmation.
For custom blocks and assemblies, the purchaser must approve the agreed hydraulic circuit and production specification before manufacture. Changes require written agreement on price, timing and scope. Approval does not excuse concealed defects or release us from our own agreed design duties. Equivalent substitutions require purchaser approval where they change the agreed specification.
Changes to quantities, drawings or scope require our written acceptance and agreement on resulting costs and timing.
6. Price, payment and changes
The confirmed order states the price, currency, applicable tax treatment, payment schedule and any additional charges. Export tax treatment depends on legal requirements and supporting documents; it is not guaranteed by the website. No payment period, credit facility or discount is implied unless agreed.
The purchaser must pay by the agreed method and due date. For overdue payment we may exercise lawful remedies, including applicable default interest and suspension after appropriate notice. We do not exclude a purchaser's mandatory rights to withhold payment or raise a valid defence. A price change affecting an existing order requires an agreed adjustment mechanism, agreement or another lawful basis.
Any request to change bank details should be verified through a previously established contact channel before payment.
7. Delivery, risk and ownership
The order must identify the delivery place, responsibilities for transport, insurance, import/export clearance and, where used, the chosen Incoterms 2020 rule and named place. No universal EXW, FCA or DDP term is implied by the catalogue. Risk transfers under the agreed delivery term and applicable law. Transfer of risk and transfer of ownership are separate questions.
Estimated lead times are estimates unless expressly confirmed as binding. Agreed lead times depend on timely receipt of required information, approvals and agreed payments. We will notify the purchaser of material delays. Supplier delay is not automatically force majeure or a complete exemption from our obligations. Partial delivery requires agreement or another lawful basis.
Where expressly agreed and legally effective, ownership is retained until full payment for the relevant goods. Any retention-of-title protection must comply with the law applicable to the goods and any registration or third-party-right requirements. We have no unrestricted right to enter premises or repossess goods without lawful authority.
If the purchaser delays agreed collection or acceptance, we may, after notice, claim reasonable evidenced storage and preservation costs caused by the delay, subject to mitigation and applicable law. Risk does not transfer merely because we declare readiness; the agreed delivery rule and legal requirements govern.
8. Inspection, defects and warranty
The purchaser should inspect deliveries promptly in the ordinary course of business and report shortages, transport damage and apparent non-conformity without undue delay. Hidden defects should be reported promptly after discovery. Statutory notice periods remain applicable; this text does not create an arbitrary shorter forfeiture period.
A report should identify the order, product and serial number where available, describe the problem and include relevant photographs, operating conditions and service history. Stop using equipment where continued use may cause injury or further damage and preserve evidence. Return instructions should be agreed before shipment; authorisation to return is not an admission of liability.
Any additional commercial warranty, its duration and the available remedy must be expressly agreed. Manufacturer warranty terms apply only to an applicable manufacturer warranty and do not displace our own contractual or mandatory obligations. No universal warranty duration is promised by this website.
Subject to applicable rights, an established defect may be addressed by repair, replacement, price adjustment, refund or another agreed or legally required remedy. Normal wear, contamination, unsuitable fluid, incorrect installation, misuse, unauthorised modification or operation outside the agreed limits may affect a claim to the extent they caused the problem. These causes do not justify rejecting an unrelated valid claim.
The purchaser must allow reasonable access for diagnosis and an opportunity to remedy a justified defect. Third-party repairs should be agreed in advance, except for lawful urgent measures to prevent harm. Recoverable emergency costs remain subject to applicable rights, evidence and mitigation.
9. Returns and cancellation
For B2B purchases there is no additional contractual change-of-mind return right unless agreed. Voluntary return of conforming goods requires written agreement on condition, costs and any reasonable handling charge. This does not restrict rights for defective goods, breach of contract or mandatory cancellation rights.
Custom-made, specially procured or configured items cannot be cancelled merely by sending a request. We will review a cancellation request and may propose reimbursement of evidenced, reasonable and non-recoverable committed costs, taking into account our duty to mitigate loss and applicable law. There is no automatic forfeiture of every deposit. Cancellation of an existing contract by us requires agreed grounds or a legal basis, with appropriate notice and treatment of amounts paid.
10. Liability
Subject to the exceptions below and to valid incorporation of these Terms, the contractual allocation is that our aggregate liability arising from an order is limited to the net price paid or payable for the affected goods or expressly agreed services. This cap applies only to the extent valid under applicable law and proportionate to the circumstances.
To the extent lawfully agreed, we do not compensate loss of profit, loss of production, business interruption, loss of contracts, anticipated savings or goodwill arising from ordinary contractual breach. These categories are stated expressly because a general reference to "indirect" or "consequential" loss may be unclear. Any agreed liquidated damages or service commitments must be considered separately.
No exclusion or cap applies to fraud, intentional misconduct, gross negligence, or liability for death, personal injury, defective products or other matters to the extent that liability cannot lawfully be limited. Nothing excludes an expressly assumed guarantee or a mandatory remedy. The purchaser must take reasonable steps to mitigate loss. This allocation does not automatically defeat claims by third parties.
11. Force majeure and impediments
A party affected by an event beyond its reasonable control must notify the other party promptly, explain the impact and take reasonable steps to mitigate it. Relief applies only to the extent and duration legally justified by the event. A routine cost increase, lack of funds or ordinary supplier delay is not automatically a qualifying event. For a prolonged impediment, the parties will address lawful suspension or termination and return of sums due for unperformed obligations.
12. Export controls, destinations and end use
As company policy, we do not accept orders for direct or indirect delivery to, or use in, the Russian Federation or Belarus. We also decline transactions prohibited by applicable sanctions, export controls, licensing rules or other trade restrictions. Other destinations remain subject to transaction-specific approval, carrier/bank availability and supplier restrictions disclosed before acceptance.
The purchaser must accurately disclose the destination, consignee, end user and intended use, provide reasonably requested documents, and must not divert or re-export goods in breach of applicable law or agreed destination restrictions. We may decline or, where contractually and legally justified, suspend or terminate a transaction if required information is withheld, materially inaccurate, or an actual compliance impediment arises. We must address notice, lawful performance and amounts paid accordingly. This provision does not transfer our own compliance duties to the purchaser.
13. Intellectual property and confidential information
Manufacturer trademarks identify products and do not imply an authorised dealership, affiliation or endorsement. Website content and third-party materials remain subject to their respective rights. No licence to manufacture from drawings or reuse proprietary designs is granted except as agreed.
The purchaser must have the right to provide drawings and specifications for the intended work. Any claim for reimbursement concerning an infringement caused by purchaser-supplied material is limited to the purchaser's legally established responsibility, with prompt notice, reasonable participation in the defence and mitigation. It does not cover an infringement caused by our independent unauthorised changes.
Clearly identified confidential project information will be used for evaluating or performing the project and shared only as reasonably necessary with relevant engineering/supply partners under appropriate confidentiality arrangements. For especially sensitive know-how, agree an NDA before disclosure. Privacy information is addressed separately in our Privacy Policy.
14. Governing law, disputes and versions
These Terms are governed by the substantive law of the Republic of Serbia. These Terms expressly exclude the UN Convention on Contracts for the International Sale of Goods (CISG), unless a separate agreement states otherwise. Mandatory rules remain applicable.
Subject to mandatory jurisdiction rules and a valid agreement, disputes are to be brought before the competent courts in Belgrade, Serbia. The parties should first attempt a good-faith commercial resolution without preventing urgent relief or allowing limitation periods to expire.
The version made available and agreed when a contract is formed applies to that contract. Later website changes do not retrospectively amend accepted orders. English is the working language for these Terms unless another language is expressly agreed. Mandatory language requirements remain applicable. Invalid provisions do not automatically invalidate the remainder, but are subject to applicable law.
